How to Register a Pvt Ltd Company in India

Below is the simplified private limited company registration process –

Step 1 : Application for DSC (Digital Signature Certificate)

Digital Signature is the first step to form a private limited company. All the eforms are online so it requires the Digital Signature instead of the physical signature. In the MOA & AOA of the company all the Directors or Subscriber are required to sign through their Digital Signature. Digital signatures are issued by the govt authorized authorities.

Step 2 : Name Reservation

This is one of the most important steps during the private limited company incorporation. You have to choose a unique name for your company. First name approval is obtained for the proposed company from the Ministry of Corporate Affairs. Up to 2 names can be provided for filing of application for reservation of name. The name must be acceptable to the MCA as per the Companies Act 2013.

There are certain rules laid down by the government to decide the name of the company. The name should be unique so as to avoid the rejections. Following are the important guidelines for selecting the name of the company:

IT MUST BE MEANINGFUL:

The name of the company should have the meaning or relevance to the business of the Company.

IT MUST BE UNIQUE:

The name of the company mustn’t be the same or identical to an already existing company or a trademark. One must preferably avoid the plural versions of the existing company names.

IT SHOULDN’T BE ILLEGAL:

The name of the company shouldn’t be against the law. It shouldn’t be abusive or against customs and the beliefs of any religion.

However, digital signature is not required for filing application for name reservation. Hence, the process of obtaining Digital signature can run parallel to the name approval process.

Step 3 : Incorporation Application Preparation and Submission

On obtaining the Digital Signature, and reservation of name of the Company, the incorporation application can be prepared and submitted in SPICe Form with the MCA.

Documents Required for Company Registration

1. Identity Proof of Directors and Shareholders:

  • PAN and AADHAR for Indian Nationals.
  • Notarised Passport Copy for Foreign Nationals.

2. Address Proof of Directors and Shareholders:

  • Passport/Drivers License/Voters ID .
  • Bank Statement of Electricity Bill not older than two months.

3. Proof of Registered Office:

  • Rent Agreement or Sale Deed .
  • Copy of Electricity Bill, Property Tax Receipt.
  • No Objection Certificate from Owner of the Premises.
